Terms & Conditions for Advergenix
The following terms and conditions apply to all website development, design, SEO, digital marketing, software development, and any other services provided by Advergenix (“we,” “us,” or “our”) to the client (“you” or “your”).
1. Acceptance
By requesting a quotation, making a payment, or using our services, you confirm that you have read, understood, and agreed to these Terms & Conditions. You do not need to sign a physical contract for these terms to apply.
2. Charges
All project quotations provided by Advergenix will remain valid for 30 days unless otherwise specified.
We require an advance payment of 30% of the project quotation to initiate work, a further 20% at the mid-review or design approval stage, and the remaining balance upon project completion, before deployment or release.
Project milestone structures may vary depending on the nature of the work and will be discussed and confirmed with the client.
The client is responsible for reimbursing any additional costs necessary to complete the project, including but not limited to domain names, hosting, premium plugins, stock photography, custom scripts, and fonts.
3. Invoices & Payments
Invoices are issued electronically via email unless otherwise requested.
Payment is due immediately upon receipt of invoice.
Late payments incur a 10% charge per month on the overdue balance, accruing daily until full payment is received.
Accounts unpaid after 40 days may be suspended, with services and hosted files removed at our discretion until outstanding balances are cleared.
Returned payments (e.g., insufficient funds) will be subject to a USD 25 fee and immediate suspension of services until full payment is made.
Clients agree to cover all reasonable collection costs, including legal fees, if Advergenix must pursue overdue payments.
4. Client Review & Approval
During development, clients will be provided opportunities to review design and progress.
Unless otherwise notified within a reasonable timeframe, final delivery will be deemed approved.
Once approved, any further revisions may incur additional charges.
5. Changes to Our Website
We may update or modify our website, products, and services at any time without prior notice. Access to our website is free of charge but may be restricted, suspended, or withdrawn for maintenance, updates, or business reasons.
6. Intellectual Property & Use of Materials
All intellectual property rights for work created by Advergenix remain our property until full payment is received. Upon payment, ownership transfers to the client (excluding any third-party resources, frameworks, or tools used).
You may download, print, or share materials provided for personal or business use, but you must not:
Modify, copy, or republish our content without permission
Remove copyright notices or branding
Use our trademarks without written consent
We reserve the right to take legal action against unauthorized use of our intellectual property.
7. Refunds & Cancellations
A full refund will be provided if project work has not started.
If work has started but milestones are incomplete, the client will pay for hours worked and receive a partial refund for the balance.
Completed milestones are non-refundable.
Once a project is completed or delivered, no refunds will be issued.
Refunds and cancellations are subject to review based on the original project agreement.
8. Confidentiality
Both parties agree to maintain confidentiality of all non-public, proprietary, or sensitive information exchanged during the project. This obligation survives the termination of the agreement.
9. Limitation of Liability
Advergenix will not be liable for indirect, incidental, or consequential damages (including lost profits, revenue, or data) resulting from the use or inability to use our services.
Our total liability is limited to the amount paid by the client for the specific project giving rise to the claim.
10. Termination of Services
Advergenix reserves the right to suspend or terminate services immediately if:
The client fails to pay invoices on time
The client engages in unlawful, abusive, or fraudulent activities
The client breaches these Terms & Conditions
11. Modifications to Terms
We may revise these Terms & Conditions at any time. Updates will take effect immediately upon posting on our website. Continued use of our services constitutes acceptance of the updated terms.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of Lahore, Pakistan. Any disputes will be resolved through negotiation, and if unresolved, through the courts in Lahore.
